抄録

日本の金融制度は,かつては「護送船団」と言われるほど微細にわたる規制に服していたが,1990年代に行われた大小さまざまな制度改革の結果,現在では,規制ではなく競争原理に立脚する制度が実現するに至っている.それは,一面では90年代に入る前から続けられてきた自由化の完成であるとともに,他面,競争の結果として個別行が破綻しても金融システム全体が危機に陥らないための制度整備の過程でもあった.ところが,こうした制度改革にもかかわらず,借り手から見ると,銀行取引の市場は,なお十分に競争的ではないように観察される.その理由としては,借り手と貸し手の間に情報の偏在が生ずるという与信取引に固有の問題が,競争原理の単純な作用を妨げているという可能性があろう.仮にそうだとすれば,情報の偏在の問題を解決するような取引のしくみが開発されなければならないが,近時普及しつつあるコベナンツ付き融資は,その一つとなり得るのではないかと考えられる.

abstract

The banking regulation in Japan underwent a radical shift in the 1990's. As a result, thepresent regulation appears to be sufficiently competitive, even as compared with other states. The scheme to cope with bank failures and prevent them from triggering a systemic crisis has also been developed. However, judging from a survey among borrowers, the banking industry has not become so competitive as to enable borrowers to benefit from the competition yet. One of the reasons may lie in the fact that the asymmetry of information between a lender and a borrower hampers a lender from assuming risks that it cannot control or observe. An arrangement to address this issue, such as the use of covenants in rendering a credit, may be useful in this regard.
